These Terms & Conditions (“Terms”) govern your use of the Badger mobile application and related services (“Badger”, “Service”).

By downloading, accessing, creating an account, or using Badger, you agree to these Terms. If you do not agree, do not use Badger.

What Badger is

A wellbeing and habit-support app built around goals, momentum, journaling, and real-life challenges.

What it is not

Badger is not medical advice, not a healthcare provider, and not an emergency or crisis service.

Using the service

You must be 16 or over, keep your account secure, and use the app lawfully and responsibly.

1. Who we are

Badger is operated by Bear-Up Ltd (“we”, “us”, “our”), a company registered in England and Wales.

2. Key points

  • Badger is a wellbeing and habit-support app. It is not medical advice and not an emergency service.
  • You must be 16 or over to use Badger.
  • Badger may offer Free, Premium, and Pro access, and may also offer credit bundles, trials, introductory offers, or other promotions from time to time.
  • Purchases made via Apple or Google Play are governed by their billing, renewal, and refund rules.
  • Journaling is private and is not shared with other users. Journal AI is off by default and only runs if you switch it on.
  • Nothing in these Terms limits your mandatory consumer rights.

3. Eligibility (16+ only)

Badger is intended for users aged 16 and over. By using Badger, you confirm that you are at least 16.

We may suspend or terminate accounts we reasonably believe are used by someone under 16.

4. Your account and security

You may need an account to use Badger. You agree to:

  • provide accurate information, including a valid email address,
  • keep your login details secure,
  • notify us promptly if you suspect unauthorised access to your account.

You are responsible for activity on your account unless it results from our failure to take reasonable security measures.

Badger may offer sign-in via email/password and may also offer third-party sign-in options now or later, for example Apple or Google. Third-party sign-in is also subject to that provider’s own terms and privacy rules.

5. What Badger provides

Badger provides features such as:

  • onboarding and personalisation,
  • daily, weekly, and monthly task options,
  • progress signals and feedback,
  • optional mood check-ins and journaling,
  • optional AI-driven personalisation features,
  • subscriptions, promotions, and/or credit bundles.

We may add, remove, or change features in order to improve Badger, comply with law, address security issues, or maintain the Service. If a change is material, we will try to give reasonable notice in-app or by other appropriate means.

6. Not medical advice; safety; crisis support

Badger provides general wellbeing support and behavioural prompts. Badger is not a healthcare provider and does not diagnose, treat, or prescribe.

Badger is not an emergency service and cannot provide crisis support. If you feel at risk of harm to yourself or others, or need urgent help, contact emergency services and appropriate local crisis resources. Badger may provide static signposting to support resources.

No monitoring of journals: Badger does not routinely monitor or review private journal entries in real time. You should not assume that anything you write will be seen by a human, acted upon, or escalated.

Narrow exception (rare): If you contact us directly, for example by email, or we receive a credible report indicating an imminent risk of serious harm, we may respond with crisis signposting and, where appropriate and lawful, take reasonable steps. We do not promise to contact third parties or emergency services, and in most cases we will not have sufficient information to do so.

7. AI features and AI-generated content

Badger may use AI to generate tasks and, if enabled, analyse journaling signals to improve personalisation.

AI is not guaranteed

AI-generated outputs may be incomplete, inaccurate, inappropriate, or unsuitable for your situation. You are responsible for deciding what actions you take.

Journal AI is off by default

Journal AI analysis is off by default. If you choose to enable it, we will present an in-app notice and you can switch it off again at any time in Settings.

Details about personal data use, including AI-related processing, are explained in our Privacy Policy.

8. Pricing, subscriptions, promotions, and billing

8.1 Subscription tiers

Badger may offer a Free tier and one or more paid tiers, including Premium and Pro. Current pricing, billing frequency, and included features will be shown in-app or at the point of purchase.

Prices may vary by region, currency, store pricing, tax treatment, or platform rules.

8.2 Promotions, free trials, and introductory offers

From time to time, we may offer free trials, introductory pricing, upsell offers, discounted access, or other promotions.

Unless we expressly state otherwise at the point of offer:

  • promotions are subject to eligibility rules,
  • they may be limited in duration or availability,
  • they may renew automatically into a paid subscription if clearly disclosed at checkout,
  • they may be changed, withdrawn, or replaced at our discretion, subject to applicable law.

Any specific promotion, trial length, renewal terms, or cancellation details will be shown in-app or at the point of purchase.

8.3 Auto-renewal and cancellation

Subscriptions typically renew automatically unless cancelled before the renewal date.

If you purchase through Apple’s App Store or Google Play, you can manage or cancel your subscription through your store account settings. Deleting the app does not automatically cancel your subscription.

8.4 App Store / Google Play billing (consumer mobile purchases)

If you purchase a subscription or credit bundle through Apple’s App Store or Google Play:

  • billing is handled by Apple or Google, and may be managed operationally through providers such as RevenueCat,
  • renewals and cancellations are handled in your store account settings,
  • refunds, where available, are governed by Apple’s or Google’s own policies and platform rules.

8.5 Direct consumer sales (if introduced later)

If we later offer direct consumer purchases outside the app stores, for example through our website or a direct checkout flow, additional checkout terms or notices may apply at the point of sale.

Where applicable law gives you a right to cancel a distance contract within a cooling-off period, that right will apply unless an exception applies.

For digital content or digital services supplied immediately, we may ask you at checkout to:

  • expressly request immediate supply or activation, and
  • acknowledge that you may lose, reduce, or otherwise affect your cancellation rights once supply begins,

to the extent permitted by applicable law.

Nothing in these Terms removes any refund, cancellation, or other mandatory rights you have under the law that applies to you.

8.6 B2B (business) plans

If you access Badger via an employer, university, charity, or other organisation and pay via Stripe, invoice, or other business billing arrangements, those arrangements will be governed by separate business terms, an order form, or another contract, not these consumer Terms.

9. Credit bundles (one-off purchases)

Badger may offer one-off credit bundles or similar digital add-ons. Prices, credit amounts, and the feature unlocked by those credits will be shown in-app at the point of purchase.

Unless we state otherwise in-app:

  • credits have no cash value,
  • credits are non-transferable,
  • credits are for personal use only,
  • credits may not be resold,
  • credits may be removed or reversed if obtained through fraud, misuse, chargeback abuse, or error,
  • credits are not refundable except where required by law or platform rules.

10. Rewards and points (in-app only for now)

Badger may award points, streaks, badges, or similar in-app rewards for completing tasks.

Unless we explicitly state otherwise:

  • points and badges have no cash value,
  • they are non-transferable,
  • we may adjust the system to prevent abuse, improve fairness, or maintain the Service.

If we introduce real-world rewards later, those may be subject to additional terms.

11. Your content (journals, photos, check-ins)

11.1 You own your User Content

You retain ownership of content you submit (“User Content”), such as journal entries, check-ins, feedback, and photos.

11.2 Licence you grant us

You grant us a limited, non-exclusive, worldwide licence to host, store, process, reproduce, and display your User Content only as necessary to operate, provide, secure, personalise, and improve Badger, including features you choose to enable.

This licence ends when you delete the content or delete your account, subject to reasonable backup, retention, and deletion cycles described in our Privacy Policy.

11.3 You are responsible for what you upload

You agree not to upload User Content that:

  • is illegal, abusive, or harassing,
  • infringes another person’s rights,
  • contains malware or attempts to compromise systems,
  • includes another person’s personal data without a lawful basis or appropriate permission.

Because journaling is private, we generally do not moderate journals. However, we may remove content or suspend accounts if required by law, necessary for security, or justified by credible reports of abuse or misuse.

12. Acceptable use

You must not:

  • attempt to hack, disrupt, overload, or bypass the Service or its security,
  • reverse engineer the app except where permitted by law,
  • use Badger to create or promote harmful or illegal content,
  • use bots, scripts, or automated tools to scrape, overload, or abuse the Service.

We may suspend or terminate accounts that breach these Terms or threaten user safety or Service integrity.

13. Third-party services

Badger relies on third-party services and infrastructure, which may include Apple, Google, RevenueCat, Stripe, Postmark, Sentry, and AI providers such as OpenAI.

Use of third-party services may also be governed by those providers’ own terms and privacy policies.

Badger may link to third-party resources, including support signposting. We do not control third-party sites or services and are not responsible for their content, availability, or practices.

14. Intellectual property (our app and branding)

Badger and all associated software, UI, branding, design, and content, excluding User Content, are owned by or licensed to Bear-Up Ltd and are protected by intellectual property laws.

We grant you a personal, limited, non-exclusive, non-transferable, revocable licence to use Badger for your own non-commercial use, subject to these Terms.

15. Availability, updates, and maintenance

We aim to keep Badger available, but we do not guarantee uninterrupted or error-free access.

We may suspend, limit, or modify access for maintenance, security, legal compliance, technical reasons, or to prevent abuse or harm.

We may release updates that are necessary to keep Badger secure or functioning properly. Some features may require you to use the latest version of the app.

16. Suspension and termination

16.1 Termination by you

You may stop using Badger at any time. You may also request account deletion in accordance with our Privacy Policy.

If you have an active subscription purchased through Apple or Google, you must cancel it through the relevant store account settings to stop future charges.

16.2 Suspension or termination by us

We may suspend or terminate your account if we reasonably believe:

  • you breached these Terms,
  • your use creates risk of harm to others, to us, or to the Service,
  • we must do so to comply with law or a lawful request.

Where reasonable, we will try to give notice and an opportunity to resolve the issue, unless doing so would create risk or be unlawful.

17. Consumer rights and legal protections

Nothing in these Terms limits or excludes any rights you have under applicable consumer law.

If you are a consumer, we will provide the Service with reasonable care and skill where required by law.

Where digital content, subscriptions, or services are not as described, not supplied with reasonable care and skill, or otherwise fall short of legal standards, you may have remedies under applicable law.

18. Disclaimers

To the fullest extent permitted by law:

  • Badger is provided “as is” and “as available”,
  • we do not guarantee specific outcomes from any task, insight, or feature,
  • AI-generated outputs may be inaccurate, incomplete, or unsuitable.

This section does not affect rights that cannot legally be excluded.

19. Liability

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including for:

  • death or personal injury caused by negligence,
  • fraud or fraudulent misrepresentation,
  • any other liability that cannot be excluded or limited by law.

If you are a consumer, we are responsible for foreseeable loss or damage caused by our breach of these Terms or our failure to use reasonable care and skill. We are not responsible for loss or damage that is not foreseeable.

To the extent permitted by law, we are not liable for losses caused by:

  • your device, operating system, or internet connection,
  • outages or failures of app stores or third-party platforms,
  • events outside our reasonable control.

20. Privacy

Our Privacy Policy explains how we collect, use, store, and share personal data, including AI-related processing choices, international transfers, and your rights. The Privacy Policy forms part of your agreement with us.

21. Complaints and support

Support is available via hello@badgerapp.io.

We will use reasonable efforts to respond to support requests, but we do not guarantee response times or specific outcomes.

If you are unhappy with the Service, please contact us first so we can try to resolve the issue.

22. Changes to these Terms

We may update these Terms from time to time.

If changes are material, we will provide reasonable notice, for example through an in-app notice or by other appropriate means.

Your continued use of Badger after the updated Terms take effect means you accept the revised Terms.

23. Governing law and disputes

These Terms are governed by the laws of England and Wales, except to the extent that mandatory consumer protection laws in your country of residence apply.

If you are a consumer, you may bring a claim in the courts of England and Wales or, where applicable law allows, in the courts of the country where you live.

Nothing in this clause limits any mandatory rights you may have to rely on local consumer protection laws or local courts.

If you are not a consumer, the courts of England and Wales will have non-exclusive jurisdiction, unless we agree otherwise in writing.
